Terms & Conditions
1. Introduction
These Terms & Conditions set out the basis on which Navaire Digital (“we”, “us” or “our") will provide website design, development and related services to you, the client. By accepting a proposal, making a payment or otherwise proceeding with a project, you agree to these terms.
2. Services
We will provide the services described in your proposal or agreement, which typically include website design, development, content setup, testing and publication. Any additional work requested outside the agreed scope may be quoted separately.
3. Client responsibilities
You agree to supply the information, content, feedback and approvals we need in a timely manner. Delays caused by missing content, slow feedback or third-party suppliers may affect the project schedule and are not our responsibility.
4. Payments
Unless otherwise agreed in writing, our standard payment terms are 50% of the project fee before work begins and the remaining 50% before the website is published. All fees are non-refundable except where required by law. Late payments may delay the project or suspension of ongoing services.
5. Ownership and intellectual property
On receipt of final payment, you will own the final website design and code created specifically for your project. Third-party materials (such as stock images, fonts, plugins or platform code) remain subject to their own licences. Where we reuse our own pre-existing tools, frameworks or components, you receive a non-exclusive licence to use them as part of the completed website, but we retain ownership of the underlying materials.
6. Website Hosting & Care
Hosting, security updates, backups and routine maintenance are included at no extra cost for the first 12 months from the date the website goes live. After the first 12 months, Website Hosting & Care continues at £10 per month unless either party gives notice to end the arrangement. We will give you reasonable notice before any change to this fee.
7. Cancellations and refunds
You may cancel a project at any time by giving written notice. If cancellation occurs before work has substantially begun, any deposit paid may be refunded less reasonable costs already incurred. Once substantial work has been completed, deposits and interim payments are not refundable.
8. Liability
We carry out our work with reasonable skill and care, but we are not liable for any loss of profits, revenue, data or business opportunity arising from the use or inability to use the website. Our total liability for any claim relating to a project is limited to the total amount paid by you for that project.
9. Governing law
These Terms & Conditions are governed by the laws of England and Wales, and any dispute arising from them will be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to these terms
We may update these Terms & Conditions from time to time. The version in force at the date of your proposal or agreement will apply to your project unless we agree otherwise in writing.
